These Terms of Service (“Terms”) govern the use of services provided by Visual Design AI, a sole proprietorship operated by Bea Alyssa Catapang (“Company,” “we,” “us,” or “our”).
By accessing our website, requesting services, or working with Visual Design AI, you agree to these Terms.
1. Services
Visual Design AI provides independent product design and creative services, including but not limited to:
Product design
UX/UI design
Brand and visual design
Prototyping
AI-assisted design workflows
Creative consulting and design strategy
All services are performed independently by the sole proprietor unless otherwise stated.
2. Client Engagement
A project begins once:
Scope, pricing, and timeline are agreed upon, and
Payment terms are accepted.
Agreements may be confirmed through proposals, invoices, written contracts, or email correspondence.
3. Fees & Payment
Pricing is defined in project proposals or invoices.
Payment may be required upfront, via milestones, or on a recurring basis.
Work may be paused for late or missed payments.
Payments are non-refundable unless explicitly stated otherwise in writing.
Clients are responsible for applicable taxes and transaction fees.
4. Revisions & Scope Changes
Projects include a reasonable number of revisions as outlined in the project agreement.
Requests beyond the agreed scope may result in:
Additional fees, and/or
Adjusted timelines.
Visual Design AI reserves the right to redefine scope if project requirements materially change.
5. Client Responsibilities
Clients agree to:
Provide accurate information and project materials.
Respond to feedback requests promptly.
Secure legal rights to any assets or materials supplied.
Delays caused by missing client feedback may extend delivery timelines.
6. Intellectual Property
Client Ownership
Upon full payment, clients receive ownership of final approved deliverables provided by Visual Design AI.
Ownership applies only to finalized deliverables, not drafts or unused concepts unless agreed otherwise.
Portfolio Rights
Visual Design AI retains the right to display completed work for portfolio, marketing, and promotional purposes unless a written confidentiality agreement states otherwise.
Third-Party Licenses
Fonts, stock assets, software, or licensed tools remain subject to their respective licensing agreements.
7. AI-Assisted Design
Visual Design AI may utilize artificial intelligence tools to assist research, ideation, production, or workflow automation.
By engaging our services, you acknowledge:
AI tools may contribute to design outputs.
Reasonable efforts are made to ensure originality and quality.
Absolute exclusivity cannot be guaranteed due to evolving AI technologies.
8. Confidentiality
Both parties agree to maintain confidentiality regarding non-public business information shared during the project.
Confidential information excludes information that is publicly known or independently developed.
9. Project Cancellation & Termination
Either party may terminate services at any time.
Upon termination:
Clients must pay for all work completed up to termination.
Unpaid deliverables remain property of Visual Design AI until payment is received.
Deposits and completed work are non-refundable.
10. Independent Contractor Status
Visual Design AI operates as an independent contractor.
Nothing in these Terms creates a partnership, joint venture, employment relationship, or agency relationship between the parties.
11. Limitation of Liability
To the maximum extent permitted by law:
Visual Design AI and Bea Alyssa Catapang shall not be liable for indirect, incidental, consequential, or business damages arising from use of services.
Total liability shall not exceed the amount paid for services related to the claim.
12. No Business Guarantees
Design services do not guarantee:
Revenue outcomes
Product success
User adoption
Investment or funding results
Creative services provide professional guidance only.
13. Website Use
You agree not to misuse the website or attempt unauthorized access or disruption.
14. Third-Party Services
Projects may involve third-party tools or platforms. Visual Design AI is not responsible for their availability, performance, or policies.
15. Governing Law
These Terms shall be governed by the laws of the State of California, United States.
15. Changes to These Terms
We may update these Terms periodically. Continued use of services after updates constitutes acceptance of the revised Terms.
